1. Scope and definitions
These Terms apply to (a) the marketing website and any forms (including “request a pilot/demo”), and (b) the Service provided to business customers.
“Customer” means the organization purchasing or using the Service. “Authorized User” means an individual authorized by the Customer to access the Service.
2. Eligibility and accounts
- You must be able to form a binding contract to use the Service.
- You are responsible for all activity under your account and for maintaining the confidentiality of credentials.
- You must provide accurate and complete information when requested (for example, for billing or access provisioning).
3. Pilot program
We may offer a time-limited pilot. Pilot terms (duration, scope, limits, and success criteria) may be described in writing (email or dashboard) and are incorporated by reference.
- Pilot access may be limited by comment volume, number of pages, number of ad accounts, or supported markets/languages.
- Pilot is provided “as is” and may change during the pilot period to improve reliability or safety.
- Either party may end the pilot at any time with notice.
4. Service description
Conor Comment automates proactive sales comments at scale for Facebook dark posts/ads. It is not community management, inbox support, or customer support automation.
Depending on configuration, the Service may (a) ingest active ad/dark post URLs, (b) detect comment status, (c) select a matching comment template (language/market), (d) publish comments, and (e) log actions and performance signals.
5. Customer obligations
- Provide access to the relevant Facebook assets (pages, ad accounts) as required for the agreed workflow.
- Provide accurate templates, languages, market rules, destination links, and UTM requirements.
- Ensure you have rights and permissions to provide any data, content, and assets you upload or connect to the Service.
- Use the Service in compliance with applicable laws and the applicable platform policies (for example, Meta policies).
6. Acceptable use
You may not use the Service to engage in unlawful, misleading, deceptive, or abusive activity.
- Do not attempt to circumvent platform limits or restrictions, or to evade enforcement actions.
- Do not use the Service to post spam, harassment, hate, or content that violates applicable platform rules.
- Do not probe, scan, or test the vulnerability of our systems or attempt unauthorized access.
- Do not reverse engineer the Service except to the extent prohibited by law.
7. Third-party platforms and dependencies
The Service interacts with third-party platforms (for example, Meta/Facebook) and may integrate with third-party tools (analytics, storage, messaging).
We are not responsible for third-party services, and they may change, suspend, or restrict access at any time. Your use of third-party platforms is governed by their terms and policies.
8. AI features and output limitations
Some workflows may use AI to classify or verify state (for example, whether a comment appears to be present, or to detect basic anomalies).
AI outputs are probabilistic and may be incorrect. You are responsible for deciding how to use outputs and for validating results where required.
9. Fees, billing, and taxes
If the Service is paid, fees and billing terms (including pricing tiers, comment volume, and any overages) will be described in the order form, pricing page, or invoice.
- Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, or VAT (except taxes on our income).
- If payments are handled via a third-party payment processor, their terms apply to payment processing.
- Late payments may result in suspension, subject to applicable law.
10. Intellectual property
We retain all rights, title, and interest in and to the Service, including software, designs, documentation, and trademarks.
Customer retains rights to its content, templates, brand assets, and data that Customer provides to the Service.
- You grant us a limited right to process Customer content solely to provide, maintain, and improve the Service and to comply with law.
- Feedback you provide may be used by us without restriction to improve the Service (no, you do not get royalties for telling us your idea).
11. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected with reasonable care and used only for fulfilling obligations under these Terms (or the applicable agreement).
- Confidential information excludes information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.
- Disclosure may be required by law or valid legal process, in which case the receiving party will provide notice where legally permitted.
12. Data protection
Our Privacy Policy describes how we handle personal data for the website and Service.
For B2B use, Customer is typically the controller of personal data processed through the Service, and we act as a processor/service provider for that data, as applicable.
13. Availability and support
We aim to keep the Service reliable, but availability may be affected by maintenance, updates, third-party outages, and platform changes.
Support channels and response targets may be defined in your plan or pilot scope. We do not promise immediate responses at 3:00 AM because we also enjoy sleep (allegedly).
14. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or if we must do so to comply with law or protect safety.
- On termination, your right to use the Service ends immediately.
- We may delete or return Customer data per agreed retention terms and applicable law.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee any specific performance outcomes (including conversion rates, ROAS, CTR, or revenue). Marketing is not physics.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU ARE ON A FREE PILOT, €100).
17. Indemnification
You will indemnify and hold us harmless from claims arising out of (a) Customer content, templates, links, or instructions, (b) use of the Service in violation of these Terms or law, or (c) violation of third-party rights or platform policies by Customer or its Authorized Users.
18. Governing law and disputes
These Terms are governed by the laws of Latvia, without regard to conflict of law principles.
Any disputes arising from these Terms will be resolved in the courts of Latvia, unless a mandatory consumer protection rule applies. (This is a B2B service, but lawyers love exceptions.)
19. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date.
If changes are material, we may provide additional notice as required by law.
